Client Responsibilities
Clients are responsible for providing accurate information, access, assets, approvals, feedback, and payment in a timely manner.
Delays in providing access, content, feedback, or approvals may affect project timelines and campaign performance.
Clients are also responsible for ensuring their own products, services, offers, websites, and business practices comply with relevant laws and advertising platform policies.
Payments
Fees, payment schedules, and payment terms will be agreed before work begins.
Invoices must be paid within the agreed payment terms stated on the invoice.
Late payments may result in paused work, delayed delivery, or suspension of services until payment is received.
Advertising spend is separate from service fees unless otherwise agreed.
Third-Party Platforms
Brushwood Media Co works with third-party platforms such as Meta, Google, TikTok, LinkedIn, Squarespace, analytics platforms, advertising tools, and other software providers.
We are not responsible for outages, technical issues, policy changes, account restrictions, disapprovals, tracking errors, billing issues, or decisions made by third-party platforms.
Intellectual Property
Unless agreed otherwise in writing, Brushwood Media Co retains ownership of its internal processes, strategy frameworks, templates, methods, know-how, and pre-existing materials.
Once full payment has been received, clients may use final approved deliverables created specifically for them for their own business purposes.
Website content, branding, copy, graphics, layouts, and materials belonging to Brushwood Media Co must not be copied, reproduced, or reused without permission.
Confidentiality
Any confidential business information shared between Brushwood Media Co and a client will be treated with reasonable care and not shared publicly without permission, unless required by law.
Clients agree not to share confidential methods, documents, strategies, or materials provided by Brushwood Media Co with third parties without permission.
Limitation Of Liability
Brushwood Media Co will not be liable for indirect, incidental, or consequential losses, including loss of profit, loss of revenue, loss of business opportunity, loss of data, or reputational damage.
We are not liable for losses caused by advertising platform issues, account restrictions, website errors, tracking failures, client delays, third-party tools, or factors outside our reasonable control.
Nothing in these terms excludes liability where it would be unlawful to do so.
Cancellations & Termination
Either party may end a working relationship in line with the notice period or cancellation terms agreed in writing.
If no separate terms have been agreed, either party should provide reasonable written notice.
Any work completed up to the termination date may still be chargeable.
